New U.S. Bank Regulations
– Our focus is the Dodd-Frank Wall Street Reform and Consumer Protection Act (“Act”). We can create a comprehensive compliance program for your bank and bank holding companies that minimize risk and maximize revenue. The Act is an extremely broad and complex federal statute that makes massive regulatory changes to the financial services system. A short  summary of the Act is as follows:
  • The Federal bank regulatory agencies, and in particular, the Board of Governors of the Federal Reserve (“Fed”) are given extensive new authorities to impose strict controls on large bank holding companies with total consolidated assets equal to or in excess of $50 billion and systemically significant nonbank financial companies supervised by the Fed to limit the risk they might pose for the economy.
  • The Act puts in place a new Financial Stability Oversight Council and several other new entities and a statutory liquidation process to deal with systemically risky institutions.
  • The Act restructures the supervision of holding companies and depository institutions by establishing that capital requirements for holding companies be at least as strict as capital requirements for depository institutions.
  • The Act directs Federal bank regulators to develop specific capital requirements for holding companies and depository institutions that regulate activities that may pose risk to the financial system, such as significant activities in higher risk areas, or assets where the reported values are based on models.
  • The Act establishes the Bureau of Consumer Financial Protection, a new independent Federal regulatory body for consumer protection that has broad authority to curb practices it finds to be unfair, deceptive and abusive activities.
  • The Volcker Rule prohibits banks and their subsidiaries and affiliates from engaging in proprietary trading. There are a few exceptions to the Volcker Rule for certain types of assets and certain categories of transactions.
